Business Acquisitions and TUPE

Our employment law and corporate teams work together to support employers in relation to business acquisitions and TUPE.

Our respected employment law & HR professionals support our corporate team in relation to business transactions to include both asset and share purchases as well as investments/ fund raises.

In this regard, we undertake due diligence on target companies, preparing detailed due diligence reports and advising generally on the employment aspects of the transaction to include identifying and advising on associated risks.

We assist with the drafting and negotiating of employment provisions of share purchase agreements, asset purchase agreements and investment agreements to include relevant employment warranties and indemnities.

Additionally, we can provide advice on risks and steps that can be taken to reduce exposure, where possible.

Our team also work closely with the corporate team in relation to other relevant documentation in any transaction.

This includes, for example, advising on the implications of good and bad leaver provisions in Articles of Association and how these can be intrinsically linked to the employment relationship.

We also prepare director service agreements for executive directors and letters of appointment for non-executive directors. and in each case, tailored to the particular needs of the business.

In relation to asset purchases and business transfers, we provide advice and support on compliance with the Transfer of Undertakings (Protection of Employment) Regulations 2006 (“TUPE”) .

This can include advising on the information and consultation requirements with elected employee representatives and/or employees (as applicable), as well as transferors’ and transferees’ obligations under TUPE to each other and to affected employees in any transaction.
